HiveU — Terms of Service

Effective date: August 14, 2026 · Version: 2.0

1. Agreement to these terms

These Terms of Service ("Terms") are a binding agreement between you and HIVEU LLC, a Colorado limited liability company ("HiveU," "we," "us"). They govern your use of the HiveU website, mobile application, and services (the "Platform").

By creating an account, browsing listings, requesting a service, offering a service, or otherwise using the Platform, you accept these Terms. If you do not accept them, do not use the Platform.

HiveU is not affiliated with, endorsed by, or sponsored by the University of Colorado Boulder or any other educational institution. References to a campus describe where the marketplace operates, not a relationship with the school.

2. Eligibility

To use the Platform you must: be at least 18 years old; be a currently enrolled student at a campus HiveU serves, or otherwise be authorized by us in writing; have a valid .edu email address at that institution, or complete our alternative verification; not be barred from using the Platform under any applicable law; and not have had a HiveU account previously terminated for cause.

3. What HiveU is — and is not

HiveU is a venue. We provide a platform where students who want a service ("Customers") can find students willing to perform it ("Helpers"). One account may act in both roles.

HiveU does not: perform, supervise, direct, or control any service; employ Helpers, or act as their agent, staffing agency, or contractor; guarantee the quality, safety, legality, timing, or completion of any service; guarantee that any Customer will book, or that any Helper will be available; conduct criminal background checks, verify licenses or certifications, or independently confirm any qualification a Helper states, except for the student-status verification described in Section 4; or take part in the agreement between a Customer and a Helper, which is solely between them.

You use the Platform, and transact with other users, at your own risk. Meeting strangers and inviting them into your home or dorm carries real risk. Meet in public where practical, tell someone where you are going, and trust your judgment about whether to proceed.

4. Accounts and verification

You must provide accurate information and keep it current. You are responsible for everything that happens under your account and for keeping your credentials confidential. Notify us immediately at hiveusupport@gmail.com if you suspect unauthorized access.

Our verification confirms student status only. It is not a background check, a character reference, a skills assessment, or a safety guarantee.

5. Bookings, payment, and fees

5.1 Current phase — direct peer-to-peer payment

During the Founding Beta, Customers pay Helpers directly through Venmo or another method the two of you agree on. HiveU does not collect, hold, transmit, or process the service payment, is not a party to it, and has no ability to reverse, refund, or recover it.

The Platform records the booking and both parties confirm completion. That record is a record, not an escrow. Because we do not hold funds in this phase, we cannot resolve payment disputes for you.

5.2 Integrated payments

We will introduce integrated payments through a third-party processor (currently expected to be Stripe). When we do, payments for bookings will run through that processor, subject to its own terms, and the processor — not HiveU — will hold and transfer funds. Completing that processor's onboarding, including its identity verification, will be required in order to transact. We will give notice before integrated payments become mandatory.

5.3 Fee schedule

All platform fees are currently waived during the Founding Beta. When fees begin, the standard schedule is: a Customer service fee of $3.00 per booking, added to the Customer's total at checkout; and a Helper commission of 5% of the Helper's listed price, withheld from the Helper's payout. The Helper receives their listed price less the 5% commission, and the Customer pays the listed price plus the $3.00 service fee. Example on a $30 booking: the Customer pays $33.00, the Helper receives $28.50, and HiveU's total fee is $4.50. A minimum booking value of $15 applies.

Both numbers are configurable and may change on at least 30 days' advance notice to the email address on your account and by in-app notice; fees apply only to bookings created on or after the effective date of that notice. Payment-processing fees charged by our third-party processor are separate from HiveU's fees and are not waived by any promotion described in Section 6.

5.4 Taxes

You are solely responsible for determining and paying any taxes arising from your use of the Platform, including income and self-employment tax on amounts you earn. HiveU does not provide tax advice and does not withhold taxes from Helper earnings. Once integrated payments begin, the payment processor may issue tax forms if you meet applicable reporting thresholds; you owe tax on your earnings whether or not a form is issued. Amounts HiveU pays you directly — including the Top Helper Bonus in Section 7 — are separately reportable; see Section 7.6.

6. Founding fee waiver

During the Founding Beta, the first 50 bookings that apply a Helper's referral code are charged no HiveU Customer service fee and no HiveU Helper commission. This is a waiver of HiveU's own fees — not a discount on the Helper's price, not a credit, and not a payment of any kind. The Helper receives their full listed price and the Customer pays no platform fee.

The waiver is limited to one per Customer and to the first 50 qualifying bookings across HiveU. Once that limit is reached the perk ends automatically, and a code applied afterward is recorded for attribution but confers no fee waiver. A waiver applies only while a booking is live — if the booking is cancelled, declined, or expires, the waiver is released, which also frees the Customer to use the perk on a later booking.

Because all platform fees are currently set to zero during the Founding Beta (Section 5.3), every booking is fee-free today; this perk guarantees these first 50 bookings stay free of the Customer service fee and Helper commission if and when standard fees begin. Payment-processing costs, once integrated payments launch, are not covered. We may modify or end the perk prospectively on the notice in Section 5.3, and may withdraw it where we reasonably believe it was obtained through fraud, duplicate accounts, self-dealing, or non-genuine bookings.

7. Top Helper Bonus

HiveU may run a monthly performance bonus for Helpers. When offered, these terms apply.

7.1 What it is. The Helper who completes the most qualifying bookings in a calendar month receives a cash bonus of $100. This is a performance award based on measurable results — not a lottery, raffle, sweepstakes, or game of chance. No purchase, entry fee, or payment of any kind is required to be eligible, and the winner is determined solely by completed booking volume.

7.2 Eligibility. You must be a verified Helper in good standing, at least 18, currently enrolled at a campus HiveU serves, and not in violation of these Terms or the Helper Agreement at any point during the month or at the time of payment.

7.3 What counts. A booking counts only if it is completed and paid, was confirmed by both parties, and was made by a distinct verified Customer. The following do not count: canceled, refunded, or disputed bookings; bookings we reasonably determine to be non-genuine; bookings between accounts controlled by the same person or by people acting in concert; bookings below $10; and repeat bookings by the same Customer beyond five in the same month.

7.4 Minimum threshold and ties. No bonus is awarded in a month in which no Helper completes at least 5 qualifying bookings. Ties are broken by, in order: highest total completed booking value; then earliest timestamp at which the winning count was reached. HiveU does not split the bonus.

7.5 Payment. The bonus is paid within 15 days after the end of the month, by the method HiveU designates. HiveU may withhold payment pending completion of the tax documentation in Section 7.6, or pending investigation of suspected fraud or abuse.

7.6 Taxes on the bonus. The Top Helper Bonus is compensation paid to you by HiveU, not marketplace earnings, and is taxable income to you. You must provide a completed Form W-9 before your first bonus payment. HiveU may be required to issue you a Form 1099-NEC if amounts we pay you reach the applicable annual reporting threshold.

7.7 Publicity. By participating you agree that HiveU may display your first name and last initial and your completed booking count on the Platform in connection with the bonus. If you prefer not to be named publicly, contact hiveusupport@gmail.com and we will exclude you from public display without affecting your eligibility.

7.8 Changes. HiveU may modify, suspend, or discontinue the bonus prospectively at any time on notice, and may disqualify any Helper we reasonably believe has manipulated bookings to win it.

8. Referral program

During the Founding Beta, the referral benefit is the fee waiver described in Section 6; there is no cash referral reward. If HiveU later offers a cash referral program, rewards are earned only on a completed, paid booking by a genuinely new, verified Customer meeting the published minimum booking value. No reward is earned for: downloads, link clicks, incomplete registrations, unverified accounts, canceled or refunded bookings, fabricated or non-genuine transactions, self-referrals, bookings between accounts controlled by the same person or by people acting in concert, or bookings below the stated minimum. We may withhold, reverse, or claw back rewards we reasonably believe were obtained in violation of these rules, cap rewards per participant per period, and modify or end the program prospectively at any time. Cash referral rewards are compensation paid by HiveU and are reportable as described in Section 7.6.

9. Prohibited services and conduct

You may not use the Platform to offer, request, or perform:

We have zero tolerance for objectionable content and abusive users. You can report content or a user, and block a user, from within the app, and we review reports and act — removing content and suspending or terminating accounts — within 24 hours where warranted. We may remove any listing, cancel any booking, and suspend or terminate any account at our discretion for a violation or suspected violation.

10. Cancellations, no-shows, and disputes

Cancellation, rescheduling, and no-show policies are published on the Platform and incorporated here. Both parties should communicate through the Platform so any dispute has a record. If a dispute arises, contact us at hiveusupport@gmail.com. We may, at our discretion, review records, mediate informally, adjust ratings, waive or refund our own fees, or take account action. We are not obligated to resolve disputes between users, and during the peer-to-peer payment phase we cannot recover or refund money. Any claim arising out of the service itself is between the Customer and the Helper.

Cancellations and partial refunds. When a booking is cancelled or partially refunded, HiveU's fees are adjusted in proportion to the amount actually settled between the Customer and the Helper. A full cancellation before the service is rendered carries no HiveU fee and a full refund of anything paid. On a partial refund, the Helper commission is charged only on the amount the Helper keeps, and the Customer service fee is reduced in proportion to the settled amount — for example, a 50% settlement carries roughly half the service fee. Third-party payment-processing fees, once integrated payments begin, may be non-refundable even when a booking is refunded.

11. Ratings and user content

You may post listings, profile information, photos, messages, and reviews ("User Content"). You retain ownership of your User Content. You grant HiveU a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, modify for formatting, display, and distribute your User Content in connection with operating and promoting the Platform. This license survives termination as to content already incorporated into aggregate or promotional materials. You represent that you own or have the rights to your User Content and that it does not infringe anyone's rights. Reviews must reflect a genuine transaction and your honest experience. We may remove User Content at our discretion but have no obligation to monitor it.

12. HiveU's intellectual property and brand

The Platform, including its software, design, text, graphics, and the HiveU name, logo, hexagon and bee marks, and associated trade dress, is owned by HiveU and protected by intellectual property law. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Platform for its intended purpose. You may truthfully state that you offer or use services on HiveU. You may not use our name or logo in a way suggesting employment, sponsorship, partnership, or endorsement; alter, recolor, or redraw our logo; incorporate our marks into your own logo, business name, domain, or social handle; or register any confusingly similar name, mark, or handle.

13. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY SERVICE ARRANGED THROUGH IT WILL BE PERFORMED SATISFACTORILY, SAFELY, LAWFULLY, OR AT ALL. WE MAKE NO REPRESENTATION ABOUT THE CONDUCT, IDENTITY, HONESTY, SKILL, OR SUITABILITY OF ANY USER. Some jurisdictions do not allow certain disclaimers, so parts of this section may not apply to you.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HIVEU AND ITS MEMBERS, OFFICERS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, PERSONAL INJURY, OR PROPERTY DAMAGE ARISING OUT OF OR RELATING TO THE PLATFORM OR ANY SERVICE ARRANGED THROUGH IT, WHETHER BASED IN CONTRACT, TORT, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE GREATER OF $100 OR THE TOTAL PLATFORM FEES YOU PAID US IN THE SIX MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. Nothing here limits liability that cannot be limited by law, including for our own fraud, gross negligence, or willful misconduct.

15. Indemnification

You will indemnify, defend, and hold harmless HiveU and its members, officers, and agents from any claim, demand, loss, liability, damage, or expense (including reasonable attorneys' fees) arising out of your use of the Platform, your User Content, any service you provide or receive, your violation of these Terms or any law, or your violation of any third party's rights.

16. Termination

You may close your account at any time from within the app. We may suspend or terminate your access at any time, with or without notice, including for violation of these Terms or where we believe it necessary to protect users or HiveU. On termination, your license to use the Platform ends; Sections 11 through 19 survive.

17. Changes to these Terms

We may modify these Terms. We will post the updated Terms with a new effective date and version number and, for material changes, give notice by email or in-app notice at least 30 days before they take effect. Continued use after the effective date means acceptance. Any change introducing or increasing platform fees is a material change subject to the notice in Section 5.3.

18. Governing law and dispute resolution

These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-laws rules.

If you have a problem, contact us first at hiveusupport@gmail.com — most issues are resolved quickly and informally, and we ask that you give us at least 30 days to work with you before starting any formal proceeding. If we can't resolve it, you and HiveU agree that any dispute will be brought in the state or federal courts located in Boulder County, Colorado, and both parties consent to the jurisdiction of those courts. Nothing here prevents either party from bringing an individual claim in small-claims court.

19. General

These Terms, plus the Privacy Policy, Helper Agreement, and any policies referenced here, are the entire agreement between us. If a provision is held unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets. Nothing here creates a partnership, joint venture, employment, or agency relationship.
